The Secretary to the Supervisory Board is responsible for providing professional, independent and confidential administrative support to the Supervisory Board. The Secretary ensures that Board meetings are efficiently
prepared, properly documented and administratively followed up, thereby contributing to effective governance and sound decision-making.

The secretary is responsible for, among others:

  • Preparing, coordinating and administratively supporting meetings of the Supervisory Board.
  • Drafting accurate, clear and timely minutes of Supervisory Board meetings.
  • Preparing and maintaining meeting agendas, action lists and supporting documentation in consultation with the Chairperson and CEO.
  • Monitoring follow-up actions and maintaining an overview of outstanding Board decisions.
  • Managing and maintaining the Supervisory Board’s digital and physical records and archives.
  • Managing the shared Board folder and ensuring that documentation is complete, organized and accessible to authorized users.
  • Safeguarding the confidentiality and integrity of Board information and documentation.
  • Serving, where appropriate, as the administrative liaison between the CEO and the Supervisory Board regarding matters related to Board meetings and documentation.
  • Providing additional administrative or organizational support to the Supervisory Board as reasonably required.

 

  • Bachelor’s degree or equivalent combination of education and experience.
  • Demonstrated experience in a similar governance, executive support or corporate secretarial role.
  • Experience preparing minutes of Board or management meetings.
  • Good understanding of governance structures and Board processes is a plus.
  • Strong command of Microsoft Office 365 and digital document management systems.
  • Excellent written communication skills in English and Papiamento, Dutch is considered a plus
